What it does

The skill performs a targeted Corporate/M&A review to identify deadlines, formality, jurisdiction, and urgent actions. It classifies Fristen and Eilrisiken, verifies a set of core Normen, determines the responsible party, and collects documents and evidence. It outputs a memo-like document, a Closing-/Action-List, Redline hints, or a PMO-Board with owners and blockers. It routes to appropriate modules (SPA, DD, StaRUG, Kapitalmarkt, Register) and builds a risk matrix with recommended actions and owners.

How it works

• It clarifies the role, objective, and output required for the mandate.
• It marks deadlines and urgent risks first, using only the deadlines of the specific field and file; it separate out Widerspruch, Klage, Einspruch, Rechtsmittel, Verjährung, Verwirkung, Rüge-, Anzeige-, Anmelde- und Ausschlussfristen, never mixing from other fields.
• It verifies core norms (e.g., BRAO, BORA, FAO, BNotO, StBerG, WPO, PAO; AO §§ 38, 42, 90, 93, 153, 162, 164, 169-171, 173, 233a, 370-378, UStG, EStG, KStG, GewStG, GrEStG, ErbStG, FGO; StaRUG) and ensures live checks for case sources via legal databases; no model-wisdom quotes.
• It identifies the responsible party and addressees: Mandant, Gegner, authority or court, experts, or EU/international body per Skill-Detail.
• It collects documents and evidentiary materials (Verwaltungsakte, Vertragsurkunden, Schriftsätze, Bescheide, Protokolle, Gutachten) and ensures gaps are filled via client inquiry; it performs a live check for up-to-date norms and practices.
• It produces one of several output modules (Corporate-Vermerk, Beschluss-/Board-Paper-Modul, Issue List, Information Request, Matter-Update) with sources cited for each factual assertion.
• It follows a workflow that fixes Corporate-Kontext, inventories sources, separates organizational roles, sets a materiality threshold, performs norms checks, builds a chain of evidence, creates a risk matrix, and delivers either a draft or a gate-ready output depending on fact sufficiency.
• It ends with hand-off guidance to subsequent skills for mandating intake, matter-file creation, PMO planning, or data room setup.

When to use it

• Trigger phrases include requests for a solid next step, corporate/Geschäftsführung perspectives, creating a Beschlussvorlage, Partnernotiz, Mandantenmail, or Organunterlage, or inquiries about missing register, decision, compliance, or deadline points.
• It should not be used when the corporate file or mandate metadata is unclear; in that case, the skill guides toward starting with a different corporate-kanzlei command for intake or matter-file setup.

Caveats

• It requires live verification of norms and decisions; it cannot rely on model knowledge or unverified sources. It avoids BeckRS, juris, or unsupported quotes and ensures all claims have traceable sources. It does not replace partner, organ, or mandant decisions on Beschluss, Signing, Registeranmeldung, or Closing. It marks confidential information for need-to-know handling and keeps data within mandated channels.
