What it does

Deals-focused framework for Corporate/M&A in a corporate-law setting. It verifies deadline/form/competence/venue and emergency measures, then generates a Deal Card with an Amber/Green/Red risk indicator, roles, next action, and approval level. It routes the output to the appropriate specialist module (SPA, DD, StaRUG, Kapitalmarkt, Register). It keeps separate tracks for corporate actions, mandates, and closing mechanics, and produces outputs such as a partner-ready memo, closing/action list, redline note, or PMO board with owners and blockers.

How it works

1. Identify the corporate context: determine company, form, organizational role, reason, deadline/registry status, and the intended recipient. If role or form is missing, ask exactly one clarifying question; if deadline pressure exists, proceed with [Annahme - prüfen].
2. Inventory sources: list documents with date, version, source, register/record ID, and confidentiality level. Mark uploads as [Mandant], registers as [Register], primary sources as [Primärquelle], and model knowledge as [Modellwissen - prüfen].
3. Separate organizational competence: distinguish management/board, shareholder meetings, supervisory boards, group leadership, notaries, and registry courts.
4. Set materiality: if no input, use a traffic light: Notarhi erforderlich etc. (Ampel) for material risks.
5. Norms check: assess competence, form, deadline, majority, authorization, registerability, liability, and evidentiary sources.
6. Build evidentiary chain: attach source, document, location, and uncertainty marker for each key finding; do not invent sources; mark [zu verifizieren] if not retrievable.
7. Risk matrix: for each point, provide fact, legal question, norm, subsumption, risk light, legal consequence, recommended action, owner, deadline, and downstream skill.
8. Draft or review gate: deliver output if facts are sufficient; otherwise provide information-request list or a partner/organ template with open decisions.
9. Hand-off preparation: transfer findings into a draft resolution, board paper, register filing, SPA markup, CP tracker, client email, or closing bible, with reference to the specific downstream skill.
10. Final check: ensure no unchecked docket numbers, no blind citations, no external communications, no confidential data outside need-to-know.

When to use it

Triggers include requests for a solid next step on a corporate deal, evaluating from company/management/holder viewpoint, turning into a board/partner/mandate document, or identifying missing register/decision/fristen items. It is not the primary tool when establishing the corporate file, assigning mandate roles, or triaging an unclear upload; if so, use the specified alternative command paths.

What it can touch

• Tools: claude-code. It uses this tool to route and structure its outputs as per the Deal-Routing-Matrix and to generate the required modules (e.g., Memo, Closing/Action List, PMO-Board).

Caveats

• It does not replace partner, organ, or client decisions on resolutions, signing, or filing; outputs depend on reviewed inputs. It does not automatically communicate with third parties or authorities. It does not assert unverified regulatory practice or case law without verifiable sources. It keeps corporate findings separate from contract risk and financial assessment, and requires specialist review for tax, competition, sanctions, or foreign law. It handles confidential data only within need-to-know boundaries and marks sensitive information for clean-room or insider lists.
